PARTNERSHIP AGREEMENT FOR SUPPORTING SUSTAINABILITY PROJECTS, REDUCING THE CARBON FOOTPRINT AND SUSTAINABILITY CERTIFICATION

I. CONTRACTING PARTIES

1. Programme Organizer

ASISARTAS S.R.L., owner and administrator of the GREEN VISION PLANET programme, with its registered office at Str. Splaiul Independentei no. 202B, Room 42, Romania, registered with the Trade Register under no. J2014000136023, having Sole Registration Code 32760608, legally represented by Administrator Dan Cosmin Ocneanu, hereinafter referred to as "GREEN VISION PLANET" or the "Organizer".

hereinafter referred to as the "Partner".

The Organizer and the Partner shall be referred to individually as a "Party" and jointly as the "Parties".

II. PREAMBLE

The Parties acknowledge the importance of protecting the environment, reducing the impact of economic activities on ecosystems and promoting sustainable development.

This agreement establishes the framework of cooperation whereby the Partner collects voluntary sustainability contributions from its customers, and the resulting funds are used to support environmental projects, develop sustainable practices and promote responsibility towards the environment.

The GREEN VISION PLANET programme aims to involve the business community in financing sustainability projects and in implementing concrete measures to reduce environmental impact.

III. SUBJECT OF THE AGREEMENT

The subject of this agreement is:

• the Partner joining the GREEN VISION PLANET Programme;
• the collection of voluntary sustainability contributions from the customers of the Partner;
• the distribution and use of the collected funds in accordance with this agreement;
• the promotion of sustainability practices and social responsibility;
• granting the right to use the GREEN VISION PLANET certification;
• the evaluation and certification of the sustainability level of the Partner.

IV. SUSTAINABILITY CONTRIBUTIONS MECHANISM

Art. 1 – Collection of contributions

1. The Partner may offer its customers the possibility to make a voluntary sustainability contribution during the process of purchasing products or services.

2. The contribution is voluntary and may be presented separately within the invoice, order, contract or online platform used by the Partner.

3. The Partner shall inform customers about the destination of the contribution and the purposes of the GREEN VISION PLANET Programme.

Art. 2 – Distribution of contributions

1. The total contributions collected by the Partner from its customers shall be divided according to the following formula:

• 50% to ASISARTAS S.R.L. – GREEN VISION PLANET;
• 50% remains at the disposal of the Partner.

2. The amounts due to GREEN VISION PLANET shall be transferred monthly, by the 15 of the following month.

3. The transfer shall be made based on the contribution report generated by the Partner.

V. USE OF FUNDS TRANSFERRED TO GREEN VISION PLANET

The funds transferred to GREEN VISION PLANET shall be used for the development and implementation of the Programme and for financing sustainability activities.

These activities may include:

• developing and maintaining the GREEN VISION PLANET platform;
• developing digital and technological infrastructure;
• marketing and promotion;
• environmental awareness campaigns;
• organizing and administering sustainability programmes;
• conducting studies and reports on environmental impact;
• certifying and monitoring partners;
• cooperating with non-governmental organizations, foundations and associations;
• financing afforestation projects;
• planting trees;
• ecosystem restoration projects;
• carbon emission offset projects;
• educational programmes on sustainability;
• other activities compatible with the objectives of the GREEN VISION PLANET Programme.

GREEN VISION PLANET has the right to enter into partnerships and contracts with NGOs, associations, foundations, public institutions and private entities for the implementation of environmental projects.

VI. USE OF FUNDS RETAINED BY THE PARTNER

1. The 50% share remaining at the disposal of the Partner shall be used to improve the sustainability of its own economic activity.

2. The funds may be used for:

• energy efficiency;
• use of renewable energy sources;
• digitalization of processes;
• reducing water consumption;
• reducing paper consumption;
• recycling and reuse;
• waste management;
• purchasing energy-efficient equipment;
• social responsibility programmes;
• implementing ESG policies;
• reducing the carbon footprint;
• training employees on sustainability;
• other measures that contribute to environmental protection.

VII. GREEN VISION PLANET CERTIFICATION

1. The Partner may benefit from GREEN VISION PLANET certification.

2. Certification is granted following an evaluation of the activities and the degree of involvement in the Programme.

3. Certification may be granted in the following categories:

• Bronze;
• Silver;
• Gold;
• Platinum.

4. The award criteria are established and updated periodically by GREEN VISION PLANET.

5. The certification is valid for 12 months from the date of issue.

6. After expiry, the certification may be renewed following a new evaluation.

VIII. RIGHTS OF THE CERTIFIED PARTNER

During the validity of the certification, the Partner may use:

• the GREEN VISION PLANET certificate;
• the logo and insignia of the Programme;
• the mention "Certified GREEN VISION PLANET Partner";
• the promotional materials provided by the Organizer.

Use of the certification outside the validity period is prohibited.

IX. OBLIGATIONS OF THE PARTNER

The Partner undertakes:

• to promote the Programme transparently;
• to keep records of the collected contributions;
• to transfer the amounts due in accordance with this agreement;
• to use its own funds for the established purpose;
• to provide true and complete information;
• not to harm the image of the GREEN VISION PLANET Programme.

X. OBLIGATIONS OF THE ORGANIZER

GREEN VISION PLANET undertakes:

• to administer the Programme professionally;
• to promote sustainability objectives;
• to develop the platform and tools necessary for the Programme;
• to coordinate environmental projects;
• to issue the certifications granted to eligible Partners;
• to use the funds in accordance with the objectives of this agreement.

XI. REPORTING AND TRANSPARENCY

1. The Partner may submit annual information on the sustainability measures implemented.

2. GREEN VISION PLANET may publish aggregated information on the impact of the Programme.

3. The publication of individual data shall be carried out only with the consent of the Partner.

XII. CONFIDENTIALITY

The Parties undertake to keep confidential all commercial, financial and operational information obtained during the cooperation.

The confidentiality obligation remains valid for 5 years after the termination of the agreement.

XIII. DURATION OF THE AGREEMENT

The agreement is concluded for a period of 12 months from the date of signing.

It is automatically extended for successive periods of 12 months if neither party notifies termination at least 30 days before expiry.

XIV. TERMINATION OF THE AGREEMENT

The agreement may be terminated:

• by agreement of the parties;
• by unilateral denunciation with 30 days prior notice;
• by termination for non-performance of contractual obligations;
• by impossibility of performance;
• in the cases provided by law.

XV. FORCE MAJEURE

Neither party shall be liable for non-performance of obligations caused by a force majeure event in accordance with Romanian law.

XVI. DISPUTE RESOLUTION

The Parties shall attempt to resolve any dispute amicably.

If amicable resolution is not possible, jurisdiction lies with the courts of law in Romania.

XVII. FINAL PROVISIONS

This agreement represents the will of the parties and replaces any prior understanding regarding its subject.

Any amendment shall be made only by an addendum signed by both parties.

The agreement was drawn up and signed today in two original copies, one for each Party.
