PARTNERSHIP AGREEMENT FOR SUPPORTING SUSTAINABILITY PROJECTS, REDUCING THE CARBON FOOTPRINT AND SUSTAINABILITY ASSESSMENT

I. CONTRACTING PARTIES

1. The Program Organizer

ASISARTAS S.R.L., owner and administrator of the GREEN VISION PLANET program, with its registered office at Str. Splaiul Independenței no. 202B, Room 42, Romania, registered with the Trade Register under no. J2014000136023, holding Sole Registration Code 32760608, legally represented by Administrator Dan Cosmin Ocneanu, hereinafter referred to as "GREEN VISION PLANET" or "the Organizer".

hereinafter referred to as "the Partner".

The Organizer and the Partner shall be referred to individually as "the Party" and jointly as "the Parties".

II. PREAMBLE

The Parties recognize the importance of environmental protection, of reducing the impact of economic activities on ecosystems, and of promoting sustainable development.

This agreement establishes the framework of cooperation whereby the Partner collects voluntary sustainability contributions from its customers, and the resulting funds are used to support environmental projects, to develop sustainable practices, and to promote responsibility towards the environment.

The GREEN VISION PLANET program seeks to involve the business community in financing sustainability projects and in implementing concrete measures to reduce environmental impact.

III. OBJECT OF THE AGREEMENT

The object of this agreement is:

• the Partner joining the GREEN VISION PLANET program;
• the collection of voluntary sustainability contributions from the Partner's customers;
• the distribution and use of the collected funds in accordance with this agreement;
• the promotion of sustainability practices and social responsibility;
• granting the right to use the results of the GREEN VISION PLANET assessment;
• the assessment and monitoring of the Partner's sustainability level.

IV. THE SUSTAINABILITY CONTRIBUTIONS MECHANISM

Art. 1 – Collection of contributions

1. The Partner may offer its customers the possibility of making a voluntary sustainability contribution during the process of purchasing products or services.

2. The contribution is voluntary and may be presented separately on the invoice, order, contract, or online platform used by the Partner.

3. The Partner shall inform customers about the destination of the contribution and the purposes of the GREEN VISION PLANET program.

Art. 2 – Distribution of contributions

1. The total contributions collected by the Partner from its customers shall be divided according to the following formula:

• 50% to ASISARTAS S.R.L. – GREEN VISION PLANET;
• 50% remains at the Partner's disposal.

2. The amounts owed to GREEN VISION PLANET shall be transferred monthly, by the 15 of the following month.

3. The transfer shall be made on the basis of the contributions report generated by the Partner.

V. DESTINATION OF THE FUNDS TRANSFERRED TO GREEN VISION PLANET

The funds transferred to GREEN VISION PLANET shall be used for the development and implementation of the Program and for financing sustainability activities.

These activities may include:

• the development and maintenance of the GREEN VISION PLANET platform;
• the development of digital and technological infrastructure;
• marketing and promotion;
• environmental awareness campaigns;
• the organization and administration of sustainability programs;
• conducting studies and reports on environmental impact;
• the assessment and monitoring of partners;
• cooperation with non-governmental organizations, foundations, and associations;
• financing afforestation projects;
• tree planting;
• ecosystem restoration projects;
• supporting biodiversity and natural habitats;
• educational programs on sustainability;
• other activities compatible with the objectives of the GREEN VISION PLANET program.

GREEN VISION PLANET has the right to enter into partnerships and contracts with NGOs, associations, foundations, public institutions, and private entities for the implementation of environmental projects.

The 50% share due to GREEN VISION PLANET represents commercial revenue of S.C. ASISARTAS S.R.L., obtained as the price of the services provided under the Program. Like any commercial revenue, it covers operating costs and may generate profit, taxed and distributed according to the law, including as dividends to the shareholders.

VI. DESTINATION OF THE FUNDS RETAINED BY THE PARTNER

1. The 50% share remaining at the Partner's disposal shall be used to improve the sustainability of its own economic activity.

2. The funds may be used for:

• energy efficiency;
• the use of renewable energy sources;
• the digitalization of processes;
• reducing water consumption;
• reducing paper consumption;
• recycling and reuse;
• waste management;
• the purchase of energy-efficient equipment;
• social responsibility programs;
• the implementation of ESG policies;
• reducing the carbon footprint;
• training employees on sustainability;
• other measures that contribute to environmental protection.

VII. THE GREEN VISION PLANET ASSESSMENT

1. The Partner may benefit from the GREEN VISION PLANET sustainability assessment.

2. The assessment is carried out on the basis of the data entered by the Partner and its degree of involvement in the Program.

3. Following the assessment, the Partner is classified into one of the following internal levels:

• Bronze;
• Silver;
• Gold;
• Platinum.

4. The assessment criteria are established and periodically updated by GREEN VISION PLANET.

5. The assessment level is updated automatically, monthly, based on the consumption data entered by the Partner.

6. The level reflects the most recent data available and may rise or fall depending on the evolution of the Partner's indicators. The level is an internal GREEN VISION PLANET classification and does not constitute an official certification or a regulated classification.

VIII. RIGHTS OF THE ASSESSED PARTNER

For the duration of the active partnership, the Partner may use:

• the GREEN VISION PLANET assessment report;
• the logo and emblems of the Program;
• the mention "GREEN VISION PLANET Assessed Partner";
• the promotional materials provided by the Organizer.

The use of the assessment results must reflect the current level, as updated by the platform.

IX. THE PARTNER'S OBLIGATIONS

The Partner undertakes:

• to promote the Program transparently;
• to keep records of the contributions collected;
• to transfer the amounts owed in accordance with this agreement;
• to use its own funds for the established purpose;
• to provide true and complete information;
• not to harm the image of the GREEN VISION PLANET program.

X. THE ORGANIZER'S OBLIGATIONS

GREEN VISION PLANET undertakes:

• to administer the Program professionally;
• to promote the sustainability objectives;
• to develop the platform and the tools needed for the Program;
• to coordinate the environmental projects;
• to make the assessment reports available to eligible Partners;
• to use the funds in accordance with the objectives of this agreement.

XI. REPORTING AND TRANSPARENCY

1. The Partner may submit annual information on the sustainability measures implemented.

2. GREEN VISION PLANET may publish aggregated information on the impact of the Program.

3. The publication of individual data shall be carried out only with the Partner's consent.

XII. CONFIDENTIALITY

The Parties undertake to keep confidential all commercial, financial, and operational information obtained during the cooperation.

The confidentiality obligation remains valid for 5 years after the termination of the agreement.

XIII. DURATION OF THE AGREEMENT

The agreement is concluded for a period of 12 months from the date of signing.

It is automatically extended for successive periods of 12 months unless either party gives notice of termination at least 30 days before expiry.

XIV. TERMINATION OF THE AGREEMENT

The agreement may be terminated:

• by agreement of the parties;
• by unilateral denunciation with 30 days' prior notice;
• by rescission for non-performance of contractual obligations;
• by impossibility of performance;
• in the cases provided by law.

XV. FORCE MAJEURE

Neither party shall be liable for non-performance of obligations caused by a force majeure event under Romanian law.

XVI. DISPUTE RESOLUTION

The Parties shall attempt the amicable resolution of any dispute.

Where amicable resolution is not possible, jurisdiction lies with the courts of Romania.

XVII. FINAL PROVISIONS

This agreement represents the will of the parties and replaces any prior understanding regarding its object.

Any amendment shall be made only by an addendum signed by both parties.

The agreement was drafted and signed today in two original copies, one for each Party.
